DOUGLAS COUNTY REPUBLICAN WOMEN BYLAWS

ARTICLE I: NAME
The name of this organization shall be the Douglas County Republican Women, otherwise known as DCRW.ARTICLE II: OBJECTIVES
The objectives of this organization shall be:- To foster and encourage loyalty to the Republican Party and to the principles for which it stands.
- To promote an informed electorate through political education.
ARTICLE III: POLICIES
- To be affiliated with and to conform to the express objectives of the Colorado Federation of Republican Women (CFRW) National Federation of Republican Women (NFRW) as stated in their bylaws.
- The DCRW President shall not support or oppose any candidate in a Republican primary or intra-party contest
- To refrain from any action that would be detrimental to an elected Republican official or certified Republican candidate.
- To use money(s) of this organization for the regular work of the organization and other Republican purposes.
ARTICLE IV: MEMBERSHIP AND DUES
Section 1. Membership
- Membership shall be open to any Republican wishing to uphold the basic policies of the Republican Party and the bylaws of this organization and upon payment of the annual dues.
- Membership Classifications:
- Regular Members: Regular Members are Republican women who may upon payment of current dues attend meetings, participate in discussions, introduce motions, vote, serve on committees, hold office and be counted for the purpose of determining a quorum. They may vote by mail or by electronic means at the direction of the Board of Directors.
- Associate Members: Associate Members are Republican women who hold memberships in other Republican Women organizations. They may attend meetings and participate in discussions. They have no vote.
- Republican Men: Men who are in accord with the objectives and policies of the National Federation of Republican Women (NFRW) and CFRW may hold a DCRW membership by payment of current dues to DCRW. They have no vote.
Section 2: Annual Dues
- Dues shall be payable October 1 and shall become delinquent November 30 of the same year at which time the member’s name shall be removed from the roster and mailing list.
- A Regular Member’s annual dues include membership in DCRW, state, and national organizations, and are paid to the DCRW Treasurer.
- Associate Members and Republican Men shall pay the annual DCRW dues to the DCRW Treasurer.
- Dues paid by new members after September 1 shall be current through December 31 of the following year.
ARTICLE V: OFFICERS, THEIR TERMS, QUALIFICATIONS AND DUTIES
Section 1: Officers
- The elected officers shall be the President, 1st Vice President, 2nd Vice President, 3rd Vice President, Recording Secretary, Corresponding Secretary and Treasurer.
- The appointive officer shall be the Parliamentarian.
Section 2: The Term of Office
- Shall be two years from December 1st through November 30th two years hence.
- Any part of a term in excess of one year shall be considered a full term.
- The officers shall be elected and installed at the meeting in November. They shall serve until their successors take office.
- Any officer may be removed from office for cause or failure to attend two consecutive board meetings and two consecutive meetings.
- No officer shall hold the same office for more than three consecutive terms.
- Any officer may be elected to a different office than that of her current term.
Section 3: Qualifications
The officers shall have been active Regular members of DCRW in good standing for at least one continuous year immediately prior to her nomination for office.
Section 4: Duties of Officers

- The President shall:
- Preside at all meetings of the organization and Executive Board.
- Appoint, subject to the approval of the Executive Board, a Parliamentarian and all Chairmen of Standing Committees.
- Appoint the Chairmen of the Special Committees.
- Be ex officio member of all committees except the nominating committee.
- In the inability of the Treasurer to act, sign checks for payment of the items requiring immediate attention.
- Have general supervision of the work of the organization.
- Give a summary of her term of office at the annual meeting.
- Represent the organization at all CFRW meetings or designate a Vice President or other alternate if necessary.
- The Immediate Past President shall:

Remain on the Executive Board (for the term of one year or longer if necessary) for the purpose of advising the new board.
- The 1st Vice President shall:
- Perform the duties of the President in her absence or inability to act.
- Plan programs for the Club.
- Perform other duties as may be assigned to her by the President.
- Coordinate meeting arrangements including meals with facility.
- The 2nd Vice President shall:
- Perform duties of the President in the absence of the President and 1st Vice President.
- Publish the Membership directory and distribute the membership packets.
- Perform other duties as may be assigned to her by the President.
- The 3rd Vice President shall:
- Be responsible for the monthly luncheon reservations.
- Check in meeting attendees.
- Create name badges for meeting attendees.
- Perform such duties as may be assigned to her.
- The Recording Secretary shall:
- Keep accurate minutes of all meetings of the organization and Executive Board.
- Be custodian of the Charter and Bylaws.
- Perform such duties as may be assigned to her.
- The Corresponding Secretary shall:
- Be responsible for assembling and distributing newsletters by the 3rd day of each month in which a meeting is scheduled.
- Handle correspondence as assigned by the President.
- Furnish mail or email ballots upon the direction of the Executive Board.
- The Treasurer shall:
- Receive all funds of the organization and deposit same in a bank designated by the Executive Board.
- Keep accurate records of receipts and expenditures.
- Pay routine bills in accordance with the budget. Non-budgeted expenditures must be ratified by the membership. Expenditures in excess of $250 over budget require approval of the membership.
- Present a financial statement at every meeting of the organization and at such times as requested by the President or Executive Board and shall make a full report at the annual meeting.
- Submit the CFRW and NFRW dues per CFRW rules.
- Keep an up-to-date membership list and provide the list to the officers.
- Notify members whose dues are not paid by November 15th that their names will be dropped from the membership rolls unless their dues are paid by November 30th.
- Dues paid after September 1 by new members shall be paid to CFRW and NFRW when due.
- Assist 3rd Vice President with check in for meeting attendees.
- Chair the Finance Committee which is responsible for drafting a budget to be presented to the Executive Board.
- The Parliamentarian shall:
- Advise the President on questions of Parliamentary law and matters of procedure.
- Meet with the Executive Board at least once a term for the purpose of reviewing the bylaws for necessary updating.
- Attend Executive Board meetings unless excused.
- All officers shall:
- Approve by vote the speaker and topic for all upcoming meetings or official gatherings of members.
- Deliver to their successors all official material within ten days after their term expires.
- Submit a written report of their key activities performed as an officer during the past year at the annual meeting.
ARTICLE VI: NOMINATIONS, ELECTIONS, AND VACANCIES
Section 1: Nominations
- A Nominating Committee of three members shall be elected by the membership at the September meeting.
- The Nominating Committee shall prepare a slate of one or more candidates for each office to be presented at the October meeting, not less than 20 days preceding the annual meeting.
- Additional nominations may be made from the floor.
- No one shall be nominated, either by the Committee or from the floor, who has not: 1) given consent to serve if elected and
- been an active Regular member of DCRW in good standing for at least one continuous year immediately prior to her nomination for office
Section 2: Elections
Officers shall be elected at the annual meeting in November. Where there is only one candidate for an office, the election shall be by voice vote. A majority shall elect.
Section 3: Vacancies
A vacancy occurring in the office of the President shall be filled by the 1st Vice President. The Executive Board shall fill vacancies in elective and appointive offices by majority vote of the members present and voting.
ARTICLE VII: MEETINGS
Section 1: Regular Meetings
Regular meetings of this organization shall be held at least seven times per year, with no regularly scheduled meetings in the months of June, July, August and December.
Section 2: Special Meetings
Special meetings may be held at the call of the President or upon written request of five members. The purpose of the meeting shall be stated in the call.
Section 3: Annual Meeting
The Annual meeting shall be the regular meeting in November. Officers shall be elected and annual reports received from officers and Committee Chairmen.
Section 4: Quorum
Seven members shall constitute a quorum at any regular or special meeting of this organization.
ARTICLE VIII: EXECUTIVE BOARD
- The Executive Board shall consist of the elected officers and the immediate past President.
- Three members shall constitute a quorum.
- The duties of the Executive Board shall be:
- To conduct a transition meeting with the newly elected officers at least 7 days before the January meeting.
- To meet after the election in a timely manner to approve the President’s appointments of a Parliamentarian and the Chairmen of the Standing Committees.
- To review the bylaws with the Parliamentarian at least once during the term for necessary updating.
- To review the Finance Committee’s annual budget before the approval of the membership at the February meeting each year.
- To transact necessary business in the intervals between regular meetings and such other business as may be referred to it by the membership.
6) Review and approve recommendations of the Donor Committee.
ARTICLE IX: COMMITTEES AND THEIR RULES
Section 1: Standing Committees
The following Standing Committees shall be appointed by the President with approval of the Executive Board: Finance, Audit, Web and Social Media, History/Archive and Donor.
Section 2: Duties of the Standing Committees
- The Budget Committeeis chaired by the Treasurer and shall:
- Be responsible for all fundraising activities.
- Draft the annual budget and submit to the Executive Board for review each January.
- The Financial Review Committee shall:
- Review the Treasurer’s books in the interval between the annual meeting and the regular January meeting.
- In the event of a vacancy in the office of Treasurer during the term, review the books within ten days of the time the new Treasurer is elected and present the report for adoption at the next regular meeting.
- Review the Treasurer’s books at any other time as requested by the Executive Board.
- The Web and Social Media Committee shall:
- Provide Updates to Social Media.
- Be responsible for website updates and maintenance.
- Provide budgetary estimates to the Finance Committee when appropriate to accomplish directives for this Committee.
- History/Archive Committee shall:
- Photograph meetings and special events.
- Ensure photographs and memorabilia are archived.
- Donor Committee shall: Select recipients of any funds that DCRW’s Executive Board decides to donate.
- All Committee chairmen shall:
- Deliver to their successors all official material within ten days after their term expires.
- Deliver a written annual report to the President prior to the annual meeting.
Section 3: Special Committees
Special Committees shall be created as needed by the President or by a vote of the membership.
ARTICLE X: PARLIAMENTARY AUTHORITY
ROBERT’S RULES OF ORDER NEWLY REVISED shall govern all proceedings of meetings of the organization. The DCRW bylaws shall have precedence at all times.
ARTICLE XI: AMENDMENTS
- These bylaws may be amended or revised by a two-thirds vote at any regular meeting provided the amendment or revision has been submitted in writing to all members no fewer than thirty (30) days in advance of the meeting.
- A designee of the Executive Board is authorized to correct article and section designations, punctuation and cross-references, and to make such other technical and conforming changes as may be necessary.
ARTICLE XII: DISSOLUTION
Although the period of duration of the DCRW is perpetual, if for any reason the DCRW is to be dissolved or otherwise terminated, no part of the property or any proceeds shall be distributed to or inured to the benefit of any of the officers or members. In the event of dissolution of the DCRW all assets shall be assigned in accordance with IRS 527.

STANDING RULES (updated September 18, 2024)
- Annual dues payable to DCRW shall be in the amount of $40 for Regular Members and $15 for Associate Members and Republican Men.
- Petty Cash Fund is maintained by the Treasurer in an amount not to exceed $160.
- Charitable donations collected will be disbursed by the Executive Board unless specified otherwise.
